1. Introduction

Welcome to Miracle World (“Miracle World”, “we”, “our”, or “us”).
These Terms of Service (“Terms”) govern your access to and use of the Miracle World website, platform, and SaaS products.
By accessing or using Miracle World, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Services Covered

These Terms apply to all products and services offered under the Miracle World ecosystem, including but not limited to:

  • MEMS – Miracle Employee Monitoring System
  • MPMS – Miracle Project Management System
  • Miracle Meet – Video Conferencing Software
  • MPay – Miracle Payroll / Payment Management System

These Terms also apply to any future products, features, or services introduced by Miracle World.

3. Eligibility & Account Registration

  • Miracle World services are intended for business and organizational use, primarily by Small and Medium Enterprises (MSME).
  • You must be legally capable of entering into a binding contract to use the services.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information during registration.

4. License & Right to Use

Subject to these Terms and payment of applicable fees, Miracle World grants you a limited, non-exclusive, non-transferable, revocable license to access and use the services during the subscription term.
You may use the services only for your internal business purposes and in accordance with these Terms.

5. Customer Responsibilities

You agree to:

  • Use Miracle World services in compliance with all applicable laws and regulations.
  • Obtain all necessary consents from employees and end users before collecting or monitoring their data.
  • Ensure that your use of monitoring, communication, and payroll features is lawful.
  • Maintain appropriate internal policies governing employee data usage.

Miracle World is not responsible for your internal compliance obligations.

6. Acceptable Use Policy

You must not:

  • Use the services for unlawful, fraudulent, or abusive purposes
  • Violate privacy, employment, or data protection laws
  • Upload malicious code or attempt to disrupt the platform
  • Access or attempt to access data belonging to other customers
  • Reverse engineer, copy, or resell the services.

Violation of this section may result in immediate suspension or termination.

7. Employee Monitoring & Communications Disclaimer

Certain products (such as MEMS and Miracle Meet) may allow:

  • Employee activity tracking
  • Screenshots or usage metadata
  • Audio/video meetings and recordings

You acknowledge and agree that:

  • Such features are enabled only at your discretion
  • You are solely responsible for employee notification, consent, and lawful usage
  • Miracle World acts as a data processor for such data

8. Subscription, Fees & Payments

  • Services are provided on a subscription and license-based model
  • Fees, billing cycles, and payment terms are defined at the time of purchase
  • Payments may be processed via third-party gateways such as Stripe
  • All fees are non-refundable unless expressly stated otherwise
  • Taxes, duties, or levies are your responsibility unless stated

9. Suspension & Termination

Miracle World may suspend or terminate access if:

  • Fees remain unpaid
  • These Terms are violated
  • Use poses a security or legal risk

You may terminate your subscription as per your plan terms. Upon termination:

  • Access to services will cease
  • Data handling will follow the Privacy Policy and contractual obligations

10. Data Protection & Privacy

Your use of Miracle World is subject to our Privacy Policy, which forms an integral part of these Terms.
Key principles:

  • Customers are primary data controllers for employee data
  • Miracle World may act as both data controller and processor
  • Miracle World does not sell personal data

11. Intellectual Property Rights

  • All software, trademarks, branding, and platform content belong to Miracle World
  • Customers retain ownership of their data
  • No rights are granted except as expressly stated

12. Third-Party Services

Miracle World may integrate or rely on third-party services for:

  • Payments
  • Hosting
  • Video communication
  • Analytics

Miracle World is not responsible for third-party services beyond contractual obligations.

13. Service Availability & Modifications

  • Services are provided on an “as-is” and “as-available” basis
  • We may modify, enhance, or discontinue features at any time
  • We do not guarantee uninterrupted or error-free service

14. Disclaimer of Warranties

To the maximum extent permitted by law:

  • Services are provided without warranties of any kind
  • We disclaim implied warranties of merchantability, fitness for purpose, and non-infringement

15. Limitation of Liability

To the maximum extent permitted by law:

  • Miracle World shall not be liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the fees paid by you in the preceding 12 months

16. Indemnification

You agree to indemnify and hold harmless Miracle World against claims arising from:

  • Your misuse of the services
  • Violation of laws or employee rights
  • Breach of these Terms

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles.
Disputes shall be resolved through amicable discussions, and if unresolved, through competent courts or arbitration as applicable.

18. Changes to These Terms

We may update these Terms from time to time.
Continued use of the services after updates constitutes acceptance.
